2. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" means any information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in connection with the Purpose, including but not limited to:

  • Business strategies, plans, and roadmaps
  • Technical designs, architectures, and source code
  • Financial information, pricing, and commercial terms

  3. Limit access to Confidential Information to employees, contractors, and advisors who have a genuine need to know and who are bound by obligations of confidentiality no less restrictive than this Agreement.
  4. Promptly notify the Disclosing Party upon discovery of any unauthorised disclosure or use of Confidential Information.
  5. Apply at least the same degree of care as applied to its own confidential information, and in any event no less than reasonable care.
